These Terms govern your use of the Ruddi applications, web services, and AI personal assistant capabilities.

1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and the Ruddi project (“we,” “us,” or “our”), operating via ruddi.ai, our desktop applications, and related services.

By downloading, installing, accessing, or using Ruddi (including the macOS desktop client, web app, and mobile companion tools), you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use Ruddi.

2. Public Beta & Prototype Nature

Public Beta / Build in Public Notice:

Ruddi is currently in an active Public Beta / Prototype development phase. Features, performance characteristics, and user interfaces are updated frequently based on community feedback.

The software is provided on an “AS IS” and “AS AVAILABLE” basis. While we strive for exceptional stability, reliability, and security, you acknowledge that beta software may contain bugs, undergo planned downtime, or experience temporary service interruptions.

3. User Accounts & Security

To access Ruddi, you must create an account using our secure authentication and identity services. You agree to:

  • Provide accurate, current, and complete registration information.
  • Maintain the confidentiality and security of your account credentials and device authorization tokens.
  • Promptly notify us if you discover any unauthorized access or breach of account security.
  • Accept responsibility for all activities conducted under your authenticated account.

4. User Content & Intellectual Property Ownership

You Retain 100% Ownership of Your Content:

You retain all copyright, title, and ownership rights to all text, notes, tasks, prompts, audio recordings, documents, and company files you create, upload, or process through Ruddi (“User Content”).

You grant Ruddi only the narrow, revocable, non-exclusive license strictly necessary to operate the services on your behalf (such as transmitting audio to transcription models and storing workspace pages in your encrypted database partition). We never claim ownership of your work, and we never sell your User Content.

5. Ruddi Intellectual Property

The Ruddi software, macOS desktop client, web applications, brand assets, logos, visual designs, algorithms, codebases, and documentation are the exclusive intellectual property of the Ruddi project and its creators.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download and use the application strictly for your personal or internal business productivity purposes.

6. Acceptable Use & Conduct Restrictions

You agree not to misuse Ruddi. Specifically, you shall not:

  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of our backend services or proprietary desktop binaries.
  • Bypass, disable, or interfere with security features, rate limits, or access control mechanisms.
  • Use Ruddi to generate, store, or transmit illegal, infringing, defamatory, harassing, or malicious content.
  • Scrape, crawl, or harvest data from our services using automated scrapers or bots without authorization.
  • Attempt to access data, files, or workspace records belonging to any other user or organization tenant.

7. AI Assistive Features & Output Disclaimer

Ruddi utilizes artificial intelligence models to provide automated task extraction, text rewriting, morning audio synthesis, and document querying. You acknowledge and agree that:

  • Assistive Productivity Tool: Ruddi is an administrative and writing assistant. AI outputs may occasionally contain inaccuracies, hallucinations, or incomplete information.
  • No Professional Advice: Ruddi does not provide certified legal, medical, financial, tax, or professional advisory services.
  • Human Verification: You are solely responsible for reviewing, verifying, and validating any output (such as email rewrites, financial calculations, or policy citations) before relying upon it or sending it to third parties.

8. Third-Party Integrations & Meeting Recording Consent

Ruddi allows you to connect third-party services (such as Google Calendar, Microsoft 365, and Apple Calendar) and record meeting audio for transcription and synthesis.

Important Legal Notice on Meeting Recordings:

Various jurisdictions require consent from all parties before recording a conversation or meeting (two-party / all-party consent wiretapping laws). You are solely responsible for notifying meeting participants and obtaining all legally required consents before using Ruddi to record or transcribe any conversation.

9. Public Beta Pricing & Future Subscriptions

During the current Public Beta period, access to the Solo Operator edition of Ruddi is provided completely free of charge to community testers.

In the future, we may introduce paid subscription tiers for advanced team collaboration and enterprise capabilities. If any paid tiers or changes to free tier limits are introduced, we will provide clear advance notice. You will never be charged without your explicit consent and subscription checkout.

10. Disclaimer of Warranties & Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RUDDI IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

IN NO EVENT SHALL THE RUDDI PROJECT, ITS DEVELOPERS, OR CONTRIBUTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL) ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF RUDDI, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Termination & Account Cancellation

You may terminate these Terms at any time by deleting your account and discontinuing use of the software. We reserve the right to suspend or terminate your access to Ruddi if you materially violate these Terms or engage in abusive, illegal, or unauthorized behavior.

Upon account deletion, all your User Content and workspace records will be permanently removed in accordance with our Privacy Policy.
